Delivered to individuals and brokerage houses, these documents are issued to arouse interest in the new issue. The information or disclosure document by which an offer of securities is made to prospects. It is the same type of document as a prospectus, the different name results from the term used in the applicable securities laws. For instance, a security registered under the federal Securities Act of 1933 would be offered by a prospectus, while one filed under the Regulation A exemption from that act would use an offering circular.
